The Services are operated by The Road Apple Company (“The Road Apple,” “we,” “us,” or “our”).
Please read these Terms carefully. By accessing or using the Services, creating an account, claiming or submitting a listing, purchasing a membership, submitting an event, submitting content, purchasing or participating in advertising, or otherwise interacting with the Services, you agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you should not use the Services.
Eligibility and Acceptance of These Terms
You must have the legal capacity to enter into these Terms to use Services that require an agreement, account, purchase, submission, or other transaction.
If you use the Services on behalf of a farm, business, organization, company, FFA chapter, 4-H program, advertiser, employer, or other entity, you represent that you have authority to act on behalf of that entity and to bind it to these Terms where applicable.
Certain features may have additional terms, agreements, guidelines, eligibility requirements, or policies. If additional terms apply to a particular Service, those terms become part of your agreement with The Road Apple for that Service.
About The Road Apple and the Local Farm & Food Guide
The Road Apple provides a platform designed to help people discover and connect with farms, food producers, agricultural businesses, local businesses, events, resources, and other eligible organizations and services.
The Local Farm & Food Guide may include information provided by farm and business owners, authorized representatives, event organizers, advertisers, users, publicly available sources, third-party directories, government or organizational sources, and The Road Apple team.
The Road Apple is primarily an information, discovery, directory, marketing, and connection platform.
Unless expressly stated otherwise, The Road Apple is not the seller, producer, grower, manufacturer, distributor, restaurant, retailer, event organizer, employer, contractor, professional service provider, or agent of the farms, businesses, organizations, advertisers, or other third parties appearing through the Services.
Directory Information
We work to provide useful and accurate information, but directory information may change at any time. Information may include business names, addresses, locations, telephone numbers, websites, social media links, hours, products, services, pricing, availability, seasonal information, buying options, events, photos, descriptions, business categories, and other information.
We do not guarantee that all directory information is complete, current, accurate, or error-free.
Before traveling to a location, purchasing a product, attending an event, or relying on time-sensitive information, users should confirm important details directly with the applicable farm, business, organization, or event organizer.
Publicly Sourced and Unclaimed Listings
The Road Apple may create directory listings using information obtained from publicly available or lawfully accessible sources.
A farm, producer, business, organization, or other entity may therefore appear in the Local Farm & Food Guide without having personally created the listing. Such listings may be identified as unclaimed, unverified, or otherwise distinguished from owner-managed listings.
The presence of an unclaimed listing does not mean the listed business has entered into a commercial relationship with The Road Apple.
Owners or authorized representatives may contact us regarding available claim, correction, verification, or removal procedures.
Claiming a Listing
By claiming a listing, you represent that you are the owner or an authorized representative of the listed entity; the information you provide is accurate; you have authority to manage the listing; you will not impersonate another person or business; and you will comply with applicable Road Apple listing requirements.
We may request information or documentation to verify your authority. We may reject, suspend, revoke, or investigate a claim if we believe the claim is inaccurate, fraudulent, unauthorized, misleading, or otherwise inconsistent with these Terms or our policies.
Verification
The Road Apple may provide a Verified badge or other verification indicator to listings that complete our applicable verification process.
Verification by The Road Apple does not mean that The Road Apple endorses, recommends, guarantees, licenses, certifies, inspects, approves, or assumes responsibility for a farm, business, organization, owner, operator, product, food item, animal, service, event, facility, practice, or representation.
Verification generally means that the listing or business has satisfied the verification requirements established by The Road Apple at the time of verification. Users remain responsible for conducting their own research and exercising appropriate judgment before purchasing products or services, visiting a property, attending an event, or conducting business with a listed entity.
The Road Apple may modify its verification standards or revoke verification when appropriate.
Founding, Featured, Premium, and Other Badges
The Road Apple may display designations such as Founding Farm, Founding Partner, Founding Ag Partner, Featured, Premium, Verified, Member, Sponsored, or other promotional or membership indicators.
These designations may reflect participation, membership level, promotional status, advertising status, timing of enrollment, or satisfaction of specific Road Apple requirements.
Unless expressly stated otherwise, these badges do not represent a guarantee of quality, safety, legality, licensing, product quality, business practices, or customer satisfaction.
Listing Eligibility
The Road Apple may establish and modify eligibility requirements for farms, producers, businesses, organizations, products, events, and other listings.
We may refuse, remove, recategorize, restrict, or suspend a listing that does not meet our eligibility requirements; contains inaccurate or misleading information; violates applicable law; misrepresents products or services; infringes intellectual property rights; creates a safety or security concern; is fraudulent or deceptive; violates these Terms or another Road Apple policy; or is otherwise inappropriate for the purpose of the Services.
The Road Apple retains discretion over directory organization, categories, search presentation, and eligibility, subject to applicable law and contractual obligations.
User Accounts
Certain Services may require or allow an account. You agree to provide accurate information, keep account information reasonably current, protect your login credentials, not share credentials in a manner that compromises account security, notify us if you suspect unauthorized account access, and accept responsibility for activity occurring through your account to the extent permitted by law.
We may use password-based authentication, magic links, or other authentication methods. We may suspend or restrict an account if reasonably necessary to protect users, the Services, The Road Apple, or third parties.
Favorites and Saved Information
Visitor accounts may allow users to save farms, businesses, events, or other content. Favorites and saved information are provided as a convenience.
The continued availability of saved content is not guaranteed. Listings, events, accounts, or features may be modified or removed.
Free Listings
The Road Apple may provide eligible farms and businesses with free directory listings. Features included with free listings may change over time.
A free listing does not guarantee a particular search position, specific amount of website traffic, customer inquiries, sales, leads, social media exposure, continued eligibility, or any particular business result.
Paid Memberships and Upgrades
The Road Apple may offer paid memberships, subscriptions, premium listings, upgrades, add-ons, promotional memberships, Founding memberships, or other paid features.
The features, pricing, billing period, renewal terms, eligibility, and benefits applicable to a paid offering will be disclosed when the offering is purchased or otherwise agreed upon.
Paid benefits may include enhanced profiles, additional images, promotional features, event posting, availability tools, social features, visibility enhancements, or other benefits. The specific benefits associated with a membership are determined by the applicable membership offering.
Membership Billing and Renewal
Some memberships or subscriptions may renew automatically. If an offering is sold on an automatically renewing basis, the applicable billing frequency, price, and renewal terms will be disclosed at or before purchase as required by law.
By purchasing an automatically renewing subscription, you authorize the applicable payment method to be charged according to the disclosed billing schedule until the subscription is canceled or otherwise ends. You are responsible for maintaining accurate billing information. Applicable taxes may be added where required.
Membership Cancellation
Cancellation procedures will be provided through the applicable account, billing system, or by contacting The Road Apple as appropriate.
Unless otherwise required by law or stated in the applicable offer, cancellation generally stops future renewals rather than retroactively canceling a membership period that has already been purchased. Access to paid benefits may continue through the end of the paid billing period unless otherwise stated.
Refunds
Except where required by law or expressly stated in a specific offer, agreement, or refund policy, payments made for memberships, subscriptions, advertising, digital services, promotional services, or other Services are generally non-refundable once the applicable service period or work has begun.
If The Road Apple provides a specific refund or cancellation policy for a product or Service, that policy will control for that transaction. Nothing in these Terms limits any refund rights that cannot legally be waived.
Changes to Memberships and Pricing
We may change future membership features, benefits, prices, or subscription options. Changes to recurring paid memberships will be handled in accordance with applicable law and any applicable agreement.
We will not retroactively change the price already paid for a completed billing period. Promotional, Founding, introductory, discounted, or limited-availability pricing may differ from future standard pricing.
Promotional and Founding Offers
The Road Apple may offer limited-time, introductory, Founding, promotional, discounted, or complimentary memberships. Such offers may have eligibility requirements, be limited by geography or quantity, have expiration dates, include different benefits from standard plans, or be modified or discontinued for future participants.
Receiving a promotional or Founding offer does not necessarily entitle the recipient to future offers or future pricing unless specifically promised in writing.
Search Results and Ranking
The Local Farm & Food Guide may sort or display results based on factors such as location, distance, search criteria, category, availability, relevance, membership features, Featured status, advertising status, verification, user-selected filters, and other platform criteria.
The Road Apple may modify search and ranking systems as the Services evolve. Paid placement, sponsorship, or Featured status may be identified where appropriate.
No listing is guaranteed a specific search position, number of impressions, number of clicks, amount of traffic, or customer response.
Featured Listings and Promotional Placement
Some memberships or paid features may provide increased visibility. Featured status or promotional placement does not guarantee first position in every search, permanent placement, a specific number of impressions or leads, website traffic, sales, revenue, or customer engagement.
Geographic relevance, user filters, availability, rotation, eligibility, and other platform rules may affect placement.
Advertising
The Road Apple may sell and manage advertising throughout the Services, including website banners, sponsored business placements, directory advertising, category advertising, content advertising, event advertising, newsletter advertising, social media promotion, and other promotional opportunities.
Advertising may rotate among multiple advertisers or may be sold as dedicated or exclusive placement. The availability, duration, location, format, specifications, and pricing of advertising may vary.
Advertiser Responsibilities
Advertisers are responsible for ensuring that their advertising is truthful and accurate; complies with applicable laws; does not infringe third-party rights; does not contain deceptive claims, malicious code, or unsafe links; does not misrepresent products or services; and complies with Road Apple advertising requirements.
Advertisers represent that they possess all necessary rights, permissions, licenses, and authorizations for advertising materials they provide.
Advertising Approval
The Road Apple reserves the right to approve, reject, request modification of, suspend, or remove advertising that we reasonably believe violates these Terms or applicable law, is misleading, conflicts with our platform standards, presents a safety concern, contains inappropriate content, infringes third-party rights, or could harm The Road Apple, its users, or its reputation.
Payment for advertising does not eliminate our right to enforce applicable advertising standards.
Advertising Performance
Unless specifically guaranteed in a written advertising agreement, The Road Apple does not guarantee impressions, clicks, leads, customers, sales, revenue, search rankings, social media reach, newsletter engagement, or business results.
Advertising performance can be affected by website traffic, audience behavior, geography, seasonality, creative materials, competition, and other factors outside our control.
Advertising Versus Featured Listings
Advertising and Featured directory status are separate products unless a particular offer expressly combines them. Purchasing advertising does not automatically make a business a Featured listing. Purchasing a Featured listing or membership does not automatically include advertising unless expressly stated.
Events
The Road Apple may display events submitted by farms, businesses, organizations, FFA chapters, 4-H programs, community organizations, administrators, or other sources. Event information may change without notice.
The Road Apple does not guarantee event dates, times, admission availability, ticket availability, pricing, weather conditions, event safety, accessibility, parking, vendor participation, cancellation status, or other event details. Users should verify important event information directly with the organizer before attending.
Event Organizer Responsibility
Event organizers are responsible for their events and for information submitted to The Road Apple. The Road Apple does not operate or supervise a third-party event merely because the event appears in our Guide.
The organizer remains responsible for applicable permits, insurance, safety procedures, staffing, accessibility, participant requirements, and compliance with applicable law.
Youth Events and Organizations
The Road Apple may provide free or promotional event opportunities for FFA, 4-H, and other approved agricultural youth organizations.
Submission or publication of a youth event does not mean The Road Apple operates, supervises, sponsors, endorses, or assumes responsibility for the event unless we expressly state otherwise.
Anyone submitting information concerning minors represents that they have appropriate authority and permissions to submit the information, photographs, names, or other materials involved.
Seasonal and Product Availability Information
The Road Apple may provide seasonal guides, “What's In Season” information, product availability indicators, harvest information, and similar agricultural content.
Agricultural production varies based on weather, region, farm practices, variety, planting schedules, harvest conditions, supply, demand, disease, natural events, and other agricultural conditions.
Seasonal information is intended as a general guide and is not a guarantee that a particular product will be available from a specific farm, in a specific location, or on a particular date. Users should confirm actual availability directly with the farm or seller.
Maps, Locations, and Distance Information
The Services may provide maps, geolocation, addresses, directions, distance calculations, and location-based search. These features may rely on third-party mapping or location technology.
Location and distance information may be approximate or inaccurate. The Road Apple does not guarantee the accuracy of map markers, property entrances, addresses, routes, driving directions, distances, travel times, or geographic boundaries.
Users are responsible for following applicable laws and using appropriate care when traveling to farms, private properties, businesses, or events.
Private Property and Farm Visits
Many listings may represent working farms, ranches, private properties, or agricultural operations. A listing in the Guide does not automatically mean the public may enter the property at any time.
Users must respect posted hours, appointments, property boundaries, signs, biosecurity requirements, animal safety rules, parking instructions, farm policies, and restricted areas. Do not enter private property without permission.
Food, Agricultural Products, and Consumer Purchases
The Road Apple does not manufacture, grow, process, package, inspect, store, transport, prepare, sell, or guarantee third-party food or agricultural products merely because those products or sellers appear in the Services.
Questions regarding ingredients, allergens, food handling, preparation, storage, recalls, certifications, labeling, production methods, or product safety should be directed to the applicable producer or seller. Users are responsible for making purchasing and consumption decisions appropriate to their circumstances.
Animals and Agricultural Activities
Farms and agricultural businesses may involve animals, machinery, uneven terrain, weather exposure, agricultural equipment, livestock, horses, insects, plants, and other inherent risks.
The Road Apple does not control the conditions at third-party properties or activities. Users should follow instructions provided by the farm, business, property owner, event organizer, or other responsible party and exercise appropriate care.
Third-Party Transactions
Transactions between users and third-party farms, businesses, producers, restaurants, retailers, advertisers, event organizers, or service providers are generally transactions between those parties.
Unless The Road Apple expressly identifies itself as the seller or contracting party for a particular transaction, The Road Apple is not responsible for product quality, product delivery, refunds owed by a third party, third-party warranties, third-party customer service, contract or pricing disputes, product availability, third-party representations, or third-party services.
Website and Marketing Services
The Road Apple may separately offer website development, managed website services, SEO, AI-related optimization, social media services, content services, marketing, advertising support, or other professional services.
Submitting an inquiry does not create a client relationship or require either party to proceed. Paid professional services may be governed by a separate proposal, service agreement, statement of work, invoice terms, or other written agreement.
If a separate written agreement conflicts with these Terms regarding a specific paid professional service, the specific written agreement controls for that service.
SEO and AI-Related Services
Search engine optimization, content optimization, AI-search readiness, answer-engine optimization, and similar services are intended to improve the organization, discoverability, technical condition, or presentation of digital content.
Search engines, social networks, AI systems, answer engines, directories, and other third-party platforms control their own algorithms and results.
The Road Apple does not guarantee search rankings, first-page placement, a particular keyword position, inclusion in AI-generated answers, citations by AI systems, website traffic, leads, sales, or revenue.
User Content
The Services may allow users, businesses, advertisers, or organizations to submit text, photos, logos, videos, descriptions, reviews if introduced, events, business information, promotional materials, and other content.
You retain ownership of content you own.
By submitting content to The Road Apple for publication, promotion, listing management, advertising, or operation of the Services, you grant The Road Apple a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, display, publish, distribute, and use that content as reasonably necessary to provide, operate, market, and promote the applicable Services and your participation in them.
This license does not transfer ownership of your content to The Road Apple.
Permission to Use Submitted Materials
You represent that you have all rights and permissions necessary to submit content to The Road Apple, including permission to use photographs, logos, business names, trademarks, videos, written materials, images of individuals, event materials, and other intellectual property.
Do not submit materials you do not have the right to use.
Road Apple Intellectual Property
The Services and their original content, design, branding, organization, software, graphics, logos, icons, illustrations, mascots, copy, databases, directory organization, and other materials created or owned by The Road Apple are protected by applicable intellectual property laws.
Except as expressly permitted, you may not copy substantial portions of the Services; republish Road Apple content; scrape or harvest the directory; create a competing database using Road Apple data; reproduce Road Apple branding; use our mascot or artwork commercially; reverse engineer protected technology; sell or sublicense Road Apple content; or misrepresent an affiliation with The Road Apple.
Limited personal use of publicly available information is permitted as intended by the Services.
Trademarks
The Road Apple Company, The Road Apple, our logos, branding, mascot, and other source identifiers may be trademarks or proprietary brand assets of The Road Apple. Nothing in these Terms grants permission to use our trademarks or branding except as expressly authorized.
Copyright and Intellectual Property Complaints
If you believe content appearing through the Services infringes your copyright or other intellectual property rights, contact us with sufficient information to identify the protected work, the allegedly infringing material and its location, your contact information, the basis for your claim, and other information reasonably necessary to evaluate the request.
We may remove or restrict content while reviewing a credible complaint.
Acceptable Use
You may use the Services only for lawful purposes. You may not use the Services to commit fraud; impersonate another person or business; submit false listings or misleading claims; access accounts without authorization; interfere with website security; introduce malware or harmful code; attempt unauthorized access to systems; harass or threaten others; violate intellectual property rights; collect personal information unlawfully; scrape or systematically extract data without authorization; manipulate rankings or platform features; circumvent membership restrictions; abuse promotional offers; conduct illegal activity; or materially interfere with operation of the Services.
Automated Access, Scraping, and Data Extraction
Except where expressly permitted in writing or through an authorized technical interface, you may not use bots, crawlers, scrapers, automated agents, data-mining tools, or similar technologies to systematically extract, reproduce, copy, or build databases from Road Apple content.
Ordinary indexing by legitimate search engines is not prohibited by this provision when performed in accordance with our technical settings and applicable law.
Security
You may not attempt to test, probe, bypass, defeat, or interfere with security measures protecting the Services except with our express written authorization. We may investigate suspected security incidents and cooperate with appropriate authorities where necessary.
Third-Party Websites and Services
The Services may link to websites or services operated by third parties. Links are provided for convenience and discovery.
The Road Apple does not control third-party websites and is not responsible for their content, privacy practices, terms, security, products, services, availability, or accuracy. Your use of a third-party website is governed by that third party's terms and policies.

The Road Apple may maintain social media profiles and may share or promote public listings, events, advertisers, articles, businesses, or other content through social media. Social media platforms are operated by third parties and are subject to their own terms and policies.
Communications
By providing contact information, you authorize us to communicate with you regarding your account, listing, membership, advertising inquiry, event submission, purchase, service request, security matters, administrative matters, or other relationship with The Road Apple.
Marketing communications are handled in accordance with our Privacy Policy and applicable law.
Privacy
Our collection and use of personal information are described in our Privacy Policy. The Privacy Policy is incorporated into these Terms by reference where applicable.
Service Availability
We work to maintain reliable Services, but we do not guarantee that the website or any particular feature will always be available, uninterrupted, secure, or error-free.
Services may be unavailable due to maintenance, updates, technical failures, hosting issues, internet outages, third-party services, security events, natural disasters, or events outside our reasonable control.
We may modify, suspend, or discontinue features as the Services evolve.
Changes to the Services
The Road Apple is a growing platform. We may add, remove, redesign, replace, or modify features, categories, membership benefits, directory functionality, search systems, account tools, advertising opportunities, integrations, or other Services.
Where changes affect an existing paid contractual commitment, we will address those changes according to the applicable agreement and law.
Suspension and Termination
We may suspend, restrict, or terminate access to an account, listing, membership, advertisement, event, submission, or other Service if reasonably necessary because of violation of these Terms, fraud, nonpayment, security concerns, unauthorized access, misrepresentation, abuse, illegal activity, intellectual property infringement, safety concerns, or material harm to The Road Apple, its users, or third parties.
Where appropriate, we may provide notice or an opportunity to correct an issue, but we are not required to do so where immediate action is reasonably necessary.
Effect of Termination
Termination of an account or Service does not automatically eliminate obligations incurred before termination. Provisions that by their nature should survive termination—including intellectual property provisions, disclaimers, limitations of liability, indemnification obligations, dispute provisions, and accrued payment obligations—will survive as applicable.
No Endorsement
The inclusion of a farm, business, product, event, organization, advertiser, article, resource, or link in the Services does not necessarily constitute endorsement by The Road Apple.
Likewise, Verified, Featured, Founding, Premium, Sponsored, or other status should be interpreted only according to the applicable Road Apple program. Users remain responsible for their own decisions.
No Professional Advice
Content provided through The Road Apple is primarily for informational and educational purposes. Unless expressly provided through a separate professional engagement, content should not be considered legal, medical, veterinary, financial, tax, food-safety, agricultural, engineering, or other professional advice.
Users should consult appropriately qualified professionals when necessary.
Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
THE ROAD APPLE DISCLAIMS WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.
WE DO NOT WARRANT THAT THE SERVICES WILL ALWAYS BE AVAILABLE; INFORMATION WILL ALWAYS BE ACCURATE OR CURRENT; EVERY LISTED BUSINESS WILL MEET USER EXPECTATIONS; PRODUCTS OR SERVICES OFFERED BY THIRD PARTIES WILL BE SAFE OR SATISFACTORY; EVENTS WILL OCCUR AS LISTED; SEASONAL INFORMATION WILL APPLY TO EVERY FARM OR REGION; MAPS OR DISTANCES WILL BE ERROR-FREE; ADVERTISING WILL PRODUCE RESULTS; MEMBERSHIPS WILL GENERATE BUSINESS; SEARCH OR AI SERVICES WILL PRODUCE PARTICULAR RANKINGS OR VISIBILITY; OR THE SERVICES WILL BE FREE OF ALL ERRORS OR SECURITY RISKS.

Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE ROAD APPLE AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING FROM OR RELATING TO THE SERVICES.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE ROAD APPLE IS NOT RESPONSIBLE FOR INJURY, LOSS, DAMAGE, CLAIMS, OR DISPUTES ARISING FROM THIRD-PARTY FARMS, BUSINESSES, PRODUCTS, FOOD, ANIMALS, PROPERTIES, EVENTS, ADVERTISERS, SERVICES, TRANSACTIONS, WEBSITES, OR CONTENT.
TO THE EXTENT LIABILITY CANNOT LAWFULLY BE EXCLUDED, THE ROAD APPLE'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO A PAID SERVICE WILL NOT EXCEED THE AMOUNT PAID BY YOU TO THE ROAD APPLE FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, UNLESS APPLICABLE LAW REQUIRES OTHERWISE.
For users of free Services, liability will be limited to the fullest extent permitted by applicable law. Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
Indemnification
To the extent permitted by applicable law, if you use the Services on behalf of a business, farm, organization, advertiser, or other commercial entity, you agree to defend, indemnify, and hold harmless The Road Apple and its owners, officers, employees, contractors, agents, and affiliates from claims, damages, liabilities, losses, costs, and reasonable legal fees arising from or relating to content you submit; your business operations; your products or services; your events; your advertisements; your violation of these Terms or applicable law; your infringement of third-party rights; or your misuse of the Services.
This provision applies only to the extent permitted by applicable law.
Force Majeure
The Road Apple will not be responsible for delay or failure to perform caused by events beyond our reasonable control, including natural disasters, severe weather, fire, flood, hurricane, epidemic, pandemic, war, terrorism, civil disturbance, labor disputes, governmental action, utility failures, internet failures, hosting outages, cyber incidents, or failures of third-party infrastructure.
Governing Law
These Terms and disputes arising from or relating to the Services will be governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where applicable federal law or another law that cannot legally be waived controls.
Venue
To the extent permitted by applicable law and unless a different dispute process is established in a separate written agreement, legal proceedings arising from these Terms or the Services will be brought in an appropriate state or federal court located in or serving Marion County, Florida.
You and The Road Apple consent to the jurisdiction of those courts to the extent permitted by law.
Informal Resolution of Disputes
Before filing a legal action against The Road Apple, we encourage you to contact us and attempt to resolve the matter informally.
A written notice of a dispute should describe the issue and the relief requested and provide sufficient contact information for us to respond.
Nothing in this section prevents either party from seeking immediate relief where necessary to protect legal rights, safety, security, or intellectual property.
Separate Agreements
Certain Services may be governed by separate agreements, including website development agreements, managed service agreements, advertising agreements, statements of work, proposals, membership terms, promotional agreements, and other written contracts.
If a separate agreement conflicts with these Terms concerning the specific subject of that agreement, the separate agreement controls for that subject.
Assignment
You may not transfer or assign your rights or obligations under these Terms without our consent where consent is legally permitted to be required.
The Road Apple may assign its rights or obligations in connection with a merger, acquisition, reorganization, sale of assets, corporate restructuring, or similar business transaction, subject to applicable law.
Severability
If any provision of these Terms is found invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect.
No Waiver
If The Road Apple does not immediately enforce a provision of these Terms, that does not waive our right to enforce that provision later. A waiver is effective only when made by an authorized representative and does not constitute a continuing waiver unless expressly stated.
Entire Agreement
These Terms, together with our Privacy Policy and any additional terms or written agreements applicable to a particular Service, constitute the applicable agreement between you and The Road Apple concerning use of the Services.
Changes to These Terms
We may update these Terms as our Services, technology, memberships, advertising programs, business operations, or legal requirements evolve.
When we update these Terms, we will revise the Last Updated date at the top of this page. Where required by law, we may provide additional notice before material changes become effective.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
